2. Franchise Application Process

2.1. Application Requirements

To apply for a Mognisis Cake franchise, you must:

• Be at least 21 years of age and not more than 55 years

• Have the minimum investment capacity as specified
• Submit accurate and complete information
• Pay the non-refundable application fee of ₹5,000

4. Financial Terms

4.3. Payment Terms

All payments must be made as per the agreed schedule:

• Application fee: Non-refundable
• Franchise fee: 50% at signing, 50% before setup
• Royalty fees: Monthly, within 7 days of month-end
• Marketing fees: Monthly, along with royalty

5. Operations and Standards

5.1. Location Requirements

Franchise locations must meet the following criteria:

• Minimum area: 300-500 square feet
• Prime location with good footfall
• Proper ventilation and lighting
• Compliance with local regulations
• Accessibility for customers
• Parking facilities (preferred)

5.2. Quality Standards

All franchisees must maintain:

• Product quality as per Company specifications
• Hygiene and cleanliness standards
• Customer service protocols
• Brand presentation guidelines
• Staff uniform and appearance
• Store layout and design standards

5.3. Product and Pricing

• Only Company-approved products can be sold
• Pricing must follow Company guidelines
• No unauthorized discounts or promotions
• Regular quality audits will be conducted
• Product sourcing from approved vendors only

6. Intellectual Property

6.1. Trademarks and Branding

The Company grants you a limited, non-exclusive license to use:

• Mognisis Cake trademarks and logos
• Brand guidelines and marketing materials
• Product names and descriptions
• Operational manuals and processes

6.2. Usage Restrictions

You cannot:

• Modify or alter Company trademarks
• Use branding for unauthorized purposes
• Register similar trademarks
• Use branding after agreement termination
• Create derivative works without permission

6.3. Confidential Information

All business information, including:

• Financial data and performance metrics

• Marketing strategies and campaigns

Must be kept confidential and not disclosed to third parties.

7. Termination

7.1. Termination by Company

The Company may terminate the agreement if you:

• Fail to pay fees on time
• Breach operational standards
• Engage in fraudulent activities
• Damage brand reputation
• Violate any terms of the agreement
• Declare bankruptcy or insolvency

7.2. Termination by Franchisee

You may terminate the agreement by:

• Providing 90 days written notice
• Paying all outstanding dues
• Returning all Company property
• Complying with transition requirements

7.3. Post-Termination Obligations

Upon termination, you must:

• Immediately cease using Company branding
• Return all confidential information
• Settle all financial obligations
• Remove all Company materials from premises
• Sign non-compete agreement (if applicable)

8. Dispute Resolution

8.1. Governing Law

These terms are governed by the laws of India, and any disputes will be subject to the exclusive jurisdiction of the courts in Patna, Bihar.

8.2. Dispute Resolution Process

1. Negotiation: Parties will first attempt to resolve disputes through good faith negotiations
2. Mediation: If negotiation fails, disputes will be referred to a neutral mediator
3. Arbitration: Unresolved disputes will be settled through arbitration as per Indian Arbitration Act
4. Court Proceedings: As a last resort, matters may be taken to civil courts

8.3. Limitation of Liability

The Company's liability shall be limited to:

• The franchise fee paid by the franchisee
• Direct damages only (no consequential damages)
• Events within reasonable control

9. Miscellaneous

9.1. Force Majeure

The Company is not liable for delays or failures due to events beyond reasonable control, including natural disasters, government actions, wars, or pandemics.

9.2. Entire Agreement

These terms, along with the franchise agreement, constitute the entire understanding between the parties and supersede all prior agreements or understandings.

9.3. Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

9.4. Waiver

No waiver of any term will be effective unless in writing and signed by the authorized representative of the Company.
